Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you (“you”, “user”) and Tradexilus (“we”, “us”). By creating an account or using the Service in any way, you confirm that you have read, understood and accepted these Terms, the Privacy Policy, and the Risk Disclaimer. If you do not accept them, you must not use the Service.

1. The Service

Tradexilus is a software-as-a-service product that helps individual retail traders enforce their own discipline rules on their MetaTrader 4 / MetaTrader 5 broker accounts. The Service connects to your broker through MetaApi Cloud, monitors open positions, evaluates them against rules you configure, and closes positions that violate those rules.

We may add, remove or change features at any time. Material changes that significantly reduce existing paid functionality will be announced in advance.

2. Eligibility

  • You must be at least 18 years old.
  • You must have the legal capacity to enter into a binding contract under your local law.
  • You must be allowed to use online trading tools in your jurisdiction.
  • You must use only your own broker account, with credentials you are entitled to use.

3. Account & security

You are responsible for keeping your login credentials and broker tokens confidential. You agree to notify us promptly at security@tradexilus.com if you suspect unauthorised access. You are responsible for everything that happens under your account.

4. Subscription, billing and trial

Tradexilus is a paid service with an optional trial period (currently 14 days). Billing is processed by Stripe Payments Europe Ltd. By starting a paid subscription you authorise recurring charges to your chosen payment method until you cancel.

  • Prices are shown on the pricing page at the time of signup. VAT is added where applicable.
  • You can cancel at any time from the in-app billing page. Cancellation stops future charges; the service remains active until the end of the current billing period.
  • We do not offer refunds for partial periods unless required by mandatory consumer law.
  • If a charge fails, we may suspend the Service until payment is restored.

5. Right of withdrawal (EU consumers)

EU consumers have a statutory right of withdrawal within 14 days of subscribing, under Directive 2011/83/EU. By explicitly requesting that we begin providing the digital service immediately during the withdrawal period (which happens automatically when you start using the Service), you acknowledge that you lose your right of withdrawal once the Service has been fully supplied, in line with art. 16(m) of that Directive. The 14-day trial period is the practical safeguard before any real charge is made.

6. Acceptable use

You agree not to:

  • Reverse engineer, decompile or attempt to extract source code.
  • Use the Service for illegal activity, market manipulation, money laundering, or circumventing sanctions.
  • Resell, sublicense or expose the Service’s API to third parties without our written permission.
  • Connect a broker account you are not personally entitled to operate.
  • Run automated scrapers, denial-of-service attacks, or abusive request volumes.
  • Use the Service to harass other users or send unsolicited communications.

7. Intellectual property

The Tradexilus name, logo, source code, design, documentation and content are owned by us or our licensors and are protected by copyright, trademark and other laws. We grant you a limited, non-exclusive, non-transferable right to use the Service for your personal trading discipline during the subscription period.

You retain ownership of the data you create in the Service (journal entries, rule configurations, trade history). You grant us a non-exclusive licence to process that data for the sole purpose of delivering the Service to you.

8. Disclaimer of warranties

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and uninterrupted availability. See the Risk Disclaimer for details about trading risk and the limits of automated enforcement.

9. Limitation of liability

To the maximum extent permitted by law, our aggregate liability for any claim arising out of or in connection with the Service is limited to the amount you paid us during the 12 months preceding the event. We are not liable for indirect, consequential, special or punitive damages, including trading losses, missed gains, slippage, broker rejections, or third-party outages.

Nothing in these Terms excludes liability that cannot be excluded under mandatory Italian or EU law (e.g. gross negligence, wilful misconduct, death or personal injury caused by negligence, statutory consumer rights).

10. Suspension and termination

We may suspend or terminate your account if you materially breach these Terms or if required by law. You may close your account at any time from the billing page. Upon termination, we will delete or anonymise your data within the timeframe described in the Privacy Policy, subject to legal retention obligations.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced by email and/or an in-app banner at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance.

12. Governing law and jurisdiction

These Terms are governed by the laws of Italy. The competent courts of the user’s place of habitual residence (for consumers) or the courts of the Tradexilus registered seat (for non-consumers) have jurisdiction. EU consumers may also use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.
